The UAE has eased selected E-Invoicing requirements as businesses prepare for implementation. Ministerial Decision No. 197 of 2026 introduces targeted relief and clarifications, while the rollout timetable continues. For businesses, the priority is to understand which transactions and processes benefit and which preparations must stay on schedule.
What Decision No. 197 Changes?
Announced on 19 October 2026 and effective from 1 October 2026, the decision amends Ministerial Decision No. 243 of 2025 in few areas.
1) Temporary relief for transactions within the same VAT group
Business transactions between members of the same VAT group are excluded for 24 months from 1 January 2027, covering 2027 and 2028. The definition expressly refers to a group registered under the VAT Law. Common ownership or Corporate Tax grouping alone does not establish eligibility. Transactions with parties outside that VAT group require a separate scope assessment.
The June 2026 Guidelines had already described a grace period for intra-VAT-group transactions. The October decision now expressly incorporates the temporary exclusion into the legislation.
2) Record retention replaces the express UAE storage requirement
The amended Article 11 removes the requirement to store invoice data within the state. Businesses must retain electronic invoices, electronic credit notes and associated data for the prescribed period and be able to provide them to the FTA on request.
3) The specific system-failure notification rule is removed
Decision No. 197 repeals Article 12 and deletes the “System Failure” definition. This removes the requirement under that article to notify the FTA within two business days of a system failure.
The Wider Requirements Businesses Still Need to Know
An E-Invoice is an invoice issued and exchanged in a structured electronic format, with invoice data reported to the FTA. Simply emailing a PDF does not meet this requirement. Businesses connect through an Accredited Service Provider (ASP), making accurate invoice data and systems capable of exchanging that data. The framework broadly covers transactions between businesses and transactions between businesses and government entities, subject to specified exclusions and phased implementation. It applies regardless of VAT registration status. B2C transactions remain outside mandatory implementation until a date determined by a further Ministerial Decision.
Keep the Deadlines in View
The earlier 31 July 2026 appointment deadline for the first category was extended to 30 October 2026. The January implementation date did not move.
Key Takeaways for Businesses
Use Decision 197 to refine your implementation plan: identify eligible VAT-group transactions and confirm access to stored records. In parallel, verify your provider’s current accreditation, test the invoices and credit notes your business issues. The changes reduce specific compliance burdens. Readiness still depends on knowing which rules apply to each transaction and ensuring the system follows them consistently.
